ome to SHOPIFFA e-commerce solutions Ltd ("SHOPIFFA," "we," "us," or "our"). These Delivery Driver Terms of Service ("Terms") govern your access to and use of our services as a delivery driver ("Driver," "you," or "your"). By signing up to deliver with SHOPIFFA, you agree to be bound by these Terms. 2. Independent Contractor Status Independent Contractor Relationship: By using the SHOPIFFA platform as an order deliverer , you acknowledge and agree that you are an independent contractor, not an employee of SHOPIFFA. You have the freedom to choose when, where, and how often you work, and you are solely responsible for any expenses, taxes, and insurance coverage related to your delivery activities. Control Over Work: You maintain control over the means and methods of completing deliveries. However, you agree to adhere to the quality standards and policies set forth by SHOPIFFA. 3. Driver Responsibilities Delivery Obligations: You agree to deliver orders promptly, safely, and in accordance with customer instructions. This includes handling the orders with care and maintaining the confidentiality of any customer information. Means of Delivery : Means of delivery allowed include : cars, Motorcycles, Scooters, Bicycles, E-bikes, Public Transportation and walking,as long as the is delivered in time and safely: You are responsible for providing and maintaining your delivery means and any other equipment necessary for completing deliveries. Your delivery means must be in good working condition, and you must have a valid vehicle or motorcycle license , vehicle or motorcycle registration, and insurance. Compliance with Laws: You agree to comply with all country laws including traffic laws, while performing deliveries. This includes any laws related to alcohol delivery, where applicable. 4. Earnings and Payments Compensation: Your compensations will be made to your bank account or registered mobile money number. You will be compensated for each completed delivery as outlined in the Driver Payment Policy. Compensation may include base pay, tips, bonuses, and other incentives, all of which will be clearly communicated before accepting a delivery. Payment Schedule: Payments will be made according to the payment schedule specified in the Driver Payment Policy. Payment methods and schedules may be updated by SHOPIFFA from time to time, with notice provided to you. Tips: You are entitled to keep 100% of any tips provided by customers. Tips may be paid directly to you by the customer or included in the payment processed through the SHOPIFFA platform. 5. Ratings and Deactivation Performance Ratings: Your performance as a Driver will be rated by customers and SHOPIFFA. Ratings may consider factors such as timeliness, professionalism, and adherence to instructions. Maintaining a minimum rating is required to continue using the SHOPIFFA platform. Account Deactivation: SHOPIFFA reserves the right to deactivate your account if your performance consistently falls below acceptable standards, or if you engage in conduct that violates these Terms or harms the reputation of SHOPIFFA. Notice will be provided, and you may have the opportunity to appeal the deactivation. 6. Insurance and Liability Insurance Requirements: You are required to maintain appropriate insurance coverage for your vehicle and delivery activities. This includes at least the minimum coverage required by law in Uganda. Liability: You are responsible for any damage or injury that occurs during your deliveries. SHOPIFFA is not liable for any losses or damages arising from your failure to comply with these Terms or applicable laws. 7. Dispute Resolution and Arbitration Arbitration Agreement: Any disputes arising out of or relating to these Terms or your use of the SHOPIFFA platform as an order deliverer will be resolved through binding arbitration. You agree to waive any right to a jury trial or to participate in a class action. Opt-Out: You may opt out of the arbitration agreement by notifying us in writing within 30 days of accepting these Terms. 8. Modifications to the Terms Changes to Terms: SHOPIFFA reserves the right to modify these Terms at any time. We will provide notice of any significant changes by updating the "Effective Date" above or through other reasonable means. Your continued use of the Services after any changes constitutes your acceptance of the new Terms. 9. Termination Termination by You: You may terminate your relationship with SHOPIFFA at any time by notifying us and ceasing to use the platform. Termination by Us: SHOPIFFA may terminate or suspend your access to the platform at any time, without notice, for conduct that violates these Terms or is otherwise harmful to other users or to SHOPIFFA. 10. Governing Law These Terms are governed by and construed in accordance with the laws of Uganda, without regard to its conflict of law principles. 11.
